Preliminary Prospectus is the first document released by the underwriter of a new issue to prospective purchasers during the cooling-off period. The preliminary prospectus includes information about the offering and about the company, but does not contain all the information that will be included in the final prospectus. The preliminary prospectus is also known as the "red herring.".
